What Went Well
Revenue and adjusted EPS both beat: $2.741 billion in revenue and $10.87 adjusted EPS topped estimates
Double-digit growth across all three channels: Commercial aftermarket at +17% led broad-based strength
Full-year guidance raised: Midpoints for both revenue and adjusted EPS lifted
TransDigm Group, which designs, produces, and supplies highly engineered aircraft components, posted FY2026 Q3 revenue of $2.741 billion, up 23% from $2.237 billion a year earlier, with organic growth (excluding acquisition contributions) of 13%. Adjusted EPS came in at $10.87 versus the $10.33 estimate, while GAAP EPS was $9.39 (vs. $8.47 a year ago). Total net income was $540 million and net income attributable to common shareholders was $539 million.
Management noted that the commercial aftermarket and MRO market grew 17%, while deliveries to aircraft OEMs and defense also continued double-digit growth. Operating income rose to $1.227 billion from $1.039 billion a year ago, and the company returned capital alongside with approximately $1.0 billion in buybacks during the quarter (over $1.8 billion cumulative since the start of the fiscal year).
What Fell Short
EBITDA margin contracted: 52.8% vs. 54.4% a year ago
SG&A and interest expense rose: Limited net income growth relative to revenue
Debt and acquisition burden persists: Long-term debt has expanded and further M&A continues to weigh on the balance sheet
The company's defined EBITDA (earnings before interest, taxes, depreciation, and amortization) rose 19% to $1.447 billion, but margin on revenue narrowed to 52.8% from 54.4% a year ago. Management attributed the dilution to recent acquisitions, adding that margin on the legacy business improved year-over-year on an ex-acquisition basis.
Net income growth (+10%) trailed revenue growth (+23%) as selling, general, and administrative expenses and net interest expense (quarterly $514 million vs. $397 million a year ago) expanded. Long-term debt at quarter-end stood at $32.621 billion, up from $29.167 billion at the end of the prior fiscal year, and a roughly $1.07 billion agreement to acquire Prince Aircraft remained pending post-quarter, meaning integration results and financial load warrant continued monitoring.
What Management Said
Management framed the quarter as the product of strong execution, saying order intake exceeded expectations and enabled an upward revision to full-year guidance. At the midpoint, revenue was raised by $150 million, defined EBITDA by $100 million, and adjusted EPS by $1.52, with channel-level growth assumptions also moved higher. The guidance does not include contributions from the still-pending Prince Aircraft acquisition.
Management also pointed to the recently closed acquisitions of Jet Parts Engineering and Victor Sierra (about $2.2 billion in total), additional debt issuance, and sizeable buybacks, emphasizing both the capacity and discipline of capital allocation. The tone is clearly confident, but it is paired with candid acknowledgment of margin dilution and a heavier interest burden.
Market Reaction and What to Watch Next
Despite the beat and raised full-year guidance, the after-hours session barely budged. High growth expectations appear to have been priced in, and the simultaneous combination of revenue/adjusted EPS beats with margin compression and higher interest expense produced a balanced read of a "good print, but imperfect narrative." In the regular session, price action is likely to be set by the conference call's commentary on demand and pricing as well as the integration narrative.
Confirm whether commercial aftermarket growth sustains in double digits and whether rising OEM production translates into delivery numbers.
Watch whether acquisition dilution fades and defined EBITDA margin re-expands.
Check whether remaining-quarter order intake and defense backlog burn-down keep pace with the raised full-year guidance.
